Meeting Information

When are regular meetings held?
As per the Amended and Revised Declaration of Governance, Covenants and Restrictions for Midtown Bryant (04-22-2021), section C subsection 4, annual meetings are to occur within the first 60 days of each fiscal year of the Association.

Where are meetings of the Association held?
As per the Amended and Revised Declaration of Governance, Covenants and Restrictions Midtown Bryant (04-22-2021) section C subsection 4, meetings of the Association shall be held at a location within the Community or at such other place in Saline County, Arkansas as may be specified in the written notice of the meeting.

When can meetings of the Association be held?
As per the Amended and Revised Declaration of Governance, Covenants and Restrictions for Midtown Bryant (04-22-2021) section C subsection 4, special meetings of the Association may be called by the following:

The President of the Association

A majority of the Board of the Association

By Owners having at least one-third (1/3) of the votes in the Association​
Written notice of the place, day and time of the annual meeting and all special meetings shall be be delivered not less than five (5) days before such meetings to all Owners and to those institutional holders of a first mortgage first deed of trust on any Lot that have requested such written notification to the Association no fewer than ten (10) days prior to any such meeting.

Who is allowed to vote at a meeting of the Association?
As per the Amended and Revised Declaration of Governance, Covenants and Restrictions Midtown Bryant (04-22-2021) section C subsection 2, all Owners including the Founder with respect to unsold Parcels, shall be entitled to one vote in the Association for each Parcel owned by such Owner and Founder and in no event shall more than one vote be cast with respect to any Parcel. If any Owner consists of more than one person, the voting rights of each such Owner shall be exercised as if the Owner consisted of only one person. For purposes of determining votes, Parcels that contain only a Garage and no other Residential or Commercial Structure shall not be included.

How do you vote at a meeting of the Association?
As per the Amended and Revised Declaration of Governance, Covenants and Restrictions Midtown Bryant (04-22-2021) section C subsection 3, at all meetings, any owner may vote in person or by proxy. All proxies shall be in writing, signed by the giver of the proxy, state that the giver of the proxy is appointing the proxy holder to vote for the proxy giver at a designated meeting or meetings and be filed with the Association, as applicable. Every proxy shall be revocable and shall automatically cease upon the conveyance by the giver of the proxy of such proxy giver's lot.

What is a quorum?
A quorum is the minimum number of members of the Association that must be present at any of its meetings to make the proceedings of that meeting valid.

What is a quorum as defined by the Association?
As per the Amended and Revised Declaration of Governance, Covenants and Restrictions Midtown Bryant (04-22-2021) section C subsection 5, a quorum of Owners for any meeting shall consist of Owners having one-tenth (1/10) of the votes in the Association, whether present in person or by written proxy submitted to the Association at or before the meeting. Unless otherwise provided herein, the decision of a majority of a quorum shall be valid as the act of the Association. If a quorum is not present at any meeting, another meeting shall be called as provided above, and business may be conducted at said second meeting if at least one-tenth (1/10) of the Owners attend in person or by proxy.
